SERVICE PROVISION AND DELIVERY POLICY

This Service Provision and Delivery Policy of Passi Technologies, S.R.L. (doing business as “Passi”, “we”, “us” or “our”) describes how services booked through Passi, including vehicle rentals, boats, yachts, shuttles, and other mobility and leisure services offered by independent Hosts or Providers, are coordinated, delivered, and initiated.

The Services include our mobile application, the website https://www.gopassi.com and other Passi channels that reference this Policy.

Passi is a technological marketplace and not a transportation company, marina, vehicle rental agency, or owner of the assets offered by Hosts, unless an offer expressly indicates otherwise. The Host or Provider publishing the listing is responsible for providing the booked service and complying with the conditions shown to the Client.

SUMMARY OF KEY POINTS

  • No physical shipping of goods. Passi facilitates service bookings and temporary use of assets. Provision occurs on the date, time, and location indicated in the booking.
  • The Host provides the service. The independent Host or Provider is responsible for making the vehicle, boat, shuttle, or other service available according to the listing and confirmed booking.
  • Prior confirmation. A request may require Host confirmation before becoming confirmed. Passi will show the Client the corresponding booking status.
  • Delivery and pickup. The point, schedule, and method of delivery, pickup, boarding, or start are determined in the listing and confirmed booking. Once confirmed, the Host cannot unilaterally modify material conditions without the Client's acceptance.
  • Client requirements. The Client must arrive on time and comply with identity, license, age, and other conditions communicated to use the service.
  • Discrepancies. If the service or asset differs materially from what was booked, presents a serious safety issue, is not delivered, or an unaccepted substitute is offered, the Client must report it to Passi as soon as reasonably possible.
  • Delays and no-show. Delays, absences, and cancellations are handled according to this Policy, the Cancellation and Refund Policy, and specific booking conditions.

1. PURPOSE AND SCOPE

This Policy establishes the general rules for the delivery, initiation, execution, and completion of services booked through Passi.

Passi Technologies, S.R.L., RNC 133131021, facilitates bookings between Clients and independent Hosts or Providers. This Policy is part of Passi's Terms and Conditions and must be read alongside the specific information shown in each listing and booking.

When a listing, a confirmed booking, or a special condition accepted by the Client establishes more specific instructions regarding delivery, pickup, boarding, schedule, capacity, location, or operational requirements, those specific conditions will supplement this Policy, unless applicable law provides otherwise.

2. NATURE OF SERVICES AND PASSI'S ROLE

Passi provides the platform; the independent Host or Provider provides the booked service.

Passi allows third parties to publish assets and services, manage availability, receive requests, and coordinate bookings. Unless Passi expressly states that it directly provides a service, Passi is not the owner, operator, lessor, captain, carrier, or maintainer of the published asset.

The contract regarding the use of the vehicle, boat, shuttle, or other service is executed with the corresponding Host or Provider, while Passi facilitates intermediation, collection, support, and other platform functions described in its Terms.

Passi may establish standards, request documentation, apply controls, or suspend listings, but such actions do not constitute an absolute guarantee regarding the condition, safety, legality, availability, or future performance of a Host or asset.

3. REQUEST, CONFIRMATION, AND BOOKING STATUS

A request does not always equate to a confirmed booking.

Depending on the listing and the enabled flow, a booking may require Host acceptance or confirmation. While such confirmation is pending, the Client must consider the request as pending and not as a definitive guarantee of availability.

When the Host confirms, Passi may update the booking status and, when applicable, proceed with the authorized collection according to the Terms and the current payment flow.

Passi may cancel, reject, or prevent a booking when there are availability, payment, verification, security, policy compliance, fraud, technical error, or other legitimate issues.

The confirmation of a booking does not guarantee that subsequent circumstances, such as breakdowns, accidents, weather conditions, closures, authority restrictions, or other events affecting provision, cannot arise.

Once a booking is confirmed, the Host cannot unilaterally modify the asset, price, date, schedule, delivery or pickup location, included services, or other material condition. Any material change must be communicated to the Client and expressly accepted by them before being applied, except when an authority, safety emergency, or the law requires acting otherwise.

If the Host proposes to substitute the vehicle, boat, or other booked asset, the Client may accept or reject the substitution. If the Client does not accept it and the original asset cannot be provided, cancellation, rescheduling, or refund may apply according to Passi's policies.

4. DELIVERY AND PROVISION INFORMATION

Provision details must be stated in the listing or the confirmed booking.

Depending on the type of service, the information may include:

  • start date and time;
  • duration or booked period;
  • pickup point, delivery point, marina, dock, airport, address, or other starting location;
  • delivery or pickup method, when the Host offers multiple options;
  • identification of the booked vehicle, boat, or service;
  • maximum passenger or user capacity;
  • license, age, identification, deposit, documentation, or safety requirements;
  • included services and, when applicable, extras or additional contracted services;
  • special instructions communicated by the Host and accepted through the booking.

The Client must review this information before confirming and promptly notify any data they consider incorrect or incompatible with their needs.

Any additional Host rule that may materially affect the use of the asset or the booking cost, including deposits, usage limits, territorial restrictions, fuel, capacity, documentary requirements, allowed additional charges, or special conditions, must be clearly communicated before confirmation. The Host cannot impose a material condition after the booking is confirmed that was not previously informed, except for legal obligation or a supervening safety situation.

5. VEHICLE RENTALS

In vehicle rentals, the Host is responsible for making the agreed vehicle available to the Client under the confirmed conditions.

The Host is responsible for ensuring the vehicle materially matches the confirmed listing and is in reasonable operating, safety, cleanliness, and documentation conditions for its intended use. They must also perform reasonable maintenance, address known defects, and not make available a vehicle subject to a known restriction or safety recall that makes its use unsafe or legally improper.

Delivery can be made at an agreed point, residence, airport, or other location offered by the Host. Fees, geographical restrictions, or delivery conditions must be shown or communicated before confirmation when applicable.

The Client must present the required documentation, including a valid driver's license when necessary, and comply with any reasonable restriction communicated before booking.

The Host is responsible for maintaining the insurance policies, registrations, permits, and other coverages or authorizations required by applicable law for the asset and type of service offered. The presence of insurance, certificate, or document does not imply that Passi guarantees specific coverage will apply to all incidents or claims.

The vehicle must be delivered only to the Client or a duly authorized additional driver according to the booking and Passi's rules. The Host must not deliver the vehicle to an unauthorized person simply because they appear on behalf of the Client.

The brand, model, essential features, and other relevant vehicle attributes must correspond to the booking. Material substitutions require the Client's acceptance, except in exceptional situations where the law permits another solution.

6. BOATS, YACHTS, AND NAUTICAL EXPERIENCES

In nautical bookings, the Host or Provider is responsible for the boat, crew, and operation of the offered service.

The listing must indicate, as applicable, the boat, capacity, marina or boarding point, schedule, duration, included services, crew or captain, destination or experience, and relevant conditions.

The Host or Provider is responsible for having the permits, licenses, documentation, insurance, and personnel legally required for the service they offer.

The Client and their companions must respect the reasonable instructions of the captain, crew, marina, and competent authorities, especially those related to safety, capacity, navigation, weather, and conduct on board.

Passi does not direct navigation nor substitutes the professional judgment of the captain or authorities. The captain or Provider may modify, delay, or suspend a departure when they consider unsafe conditions or operational restrictions exist, subject to applicable cancellation, rescheduling, and refund rules.

7. SHUTTLES AND OTHER MOBILITY SERVICES

In shuttles and other mobility services, provision is carried out according to the confirmed route, schedule, capacity, and conditions.

The Provider is responsible for arriving at the agreed point and providing the service with the vehicle and personnel appropriate for the contracted service.

The Client must provide reasonably accurate information about the pickup location, destination, schedule, passengers, luggage, and any special need that may affect provision.

Estimated arrival times may be affected by traffic, weather, road closures, security checks, airports, ports, and other conditions beyond the reasonable control of the Provider or Passi.

8. HOST OR PROVIDER OBLIGATIONS

The Host or Provider is responsible for fulfilling the listing and providing the service legally and reasonably safely.

  • Keep listing information updated and do not offer availability they reasonably know they cannot fulfill.
  • Arrive or make the asset available at the confirmed time and location.
  • Deliver an asset that materially corresponds with the description and essential conditions of the booking.
  • Maintain the documentation, permits, insurance, and authorizations corresponding to them according to law and service type, as well as attend to maintenance, known defects, recalls, or safety restrictions applicable to the asset.
  • Communicate before booking any material restriction, special requirement, allowed additional charge, or condition relevant to use, and not subsequently impose undisclosed material conditions.
  • Address delivery, operational, or safety issues under their responsibility.
  • Comply with Passi's policies and reasonably cooperate with incident or claim investigations.

9. CLIENT OBLIGATIONS

The Client must reasonably cooperate so the service can be provided according to the booking.

  • Arrive on time at the agreed location.
  • Provide truthful and updated information regarding identity, contact, passengers, and other necessary data.
  • Present valid documentation or license when required.
  • Comply with capacity limits, usage rules, safety instructions, and communicated restrictions.
  • Do not use the asset or service for illegal, dangerous, or unauthorized purposes.
  • Promptly inform of delays, changes, or issues that may affect delivery.
  • Return or end usage at the agreed location, time, and condition, subject to allowable normal wear and tear.

10. IDENTIFICATION, LICENSE, AND ELIGIBILITY REQUIREMENTS

Certain services require identity, age, or license verification before delivery.

Passi or the Host may require the Client to complete reasonable verifications before starting the service. Passi may use third-party providers, including Stripe Identity, to facilitate certain verifications.

A verification approved by Passi or a third party does not obligate the Host to deliver an asset if, at the time of delivery, there is a legitimate and objectively reasonable reason to consider the Client does not meet an applicable requirement, provided such decision is not discriminatory or contrary to law.

The Host must not request unnecessary additional information or documentation incompatible with Passi's policies. Passi may review claims related to delivery refusals.

Any verification performed or facilitated by Passi is limited to the specifically reviewed elements. It does not constitute a physical inspection of the asset, technical or mechanical certification, comprehensive Host validation, safety guarantee, insurance coverage guarantee, or confirmation that no fraud, breach, or incident will occur during the booking.

11. INSPECTION, CONDITION, AND ACCEPTANCE OF SERVICE

The Client must reasonably review the asset or service upon delivery and report material issues.

Before starting use, the Client must try to verify that the asset reasonably corresponds to the booking and observe any visible damage, cleanliness issue, or obvious safety condition.

Passi may allow or require check-in and check-out evidence to document the initial and final state of the asset. This evidence may include photographs, videos, mileage or usage hours, fuel or charge level, location, date and time, pre-existing damages, cleanliness, and other relevant conditions.

Such evidence may be used to evaluate claims, damages, additional charges, disputes, late returns, and other differences between the parties. The absence of evidence may limit Passi's ability to determine what occurred, without automatically implying responsibility on a specific party.

If the vehicle, boat, or service has a material discrepancy, safety defect, or condition that reasonably prevents its use, the Client should avoid using it when doing so could increase risk and report it to Passi as soon as reasonably possible.

For penalty-free cancellation requests, the Client must comply with the deadlines and evidence requirements established in the Cancellation and Refund Policy.

12. DELAYS, SCHEDULE CHANGES, AND NON-DELIVERY

Parties must communicate delays and changes as soon as possible.

A minor delay does not automatically constitute a cancellation nor generates a right to refund by itself. However, if the Host does not deliver or make the service available within 30 minutes after the agreed time and the Client does not expressly accept a new schedule, the Client may request the application of the Cancellation and Refund Policy.

If the Client is delayed, they must notify the Host or Passi. The Host's ability to wait will depend on the service type, subsequent availability, marina, port, airport, crew, schedules, or other operational restrictions.

When a schedule change is accepted by both parties, Passi may update the booking. Such modification does not necessarily reset cancellation deadlines.

13. RETURN OR COMPLETION OF SERVICE

The booking ends when the contracted period terminates or the service is completed as agreed.

For vehicles or other temporarily used assets, the Client must return them at the agreed point and schedule, unless there is a confirmed modification.

The Host and Client can document the return condition using photographs, videos, or other permitted records. The Host may report damages, missing items, fuel or charge, extraordinary cleaning, delays, or other concepts permitted by the Terms and conditions communicated before booking.

For boats, shuttles, and services provided with Provider personnel, completion occurs upon finishing the contracted duration, route, or experience.

Additional charges cannot be arbitrarily imposed and must respond to previously informed conditions, verifiable facts, or concepts permitted by the Terms and law.

14. INCIDENTS, DAMAGES, AND SAFETY ISSUES

Safety takes precedence over booking continuity.

If an accident, breakdown, damage, injury, threat, relevant failure, or safety situation occurs, the Client and Host must act reasonably to reduce risks and, when applicable, contact emergency services or authorities before continuing with the booking.

Parties must inform Passi as soon as reasonably possible and preserve relevant evidence, including photographs, videos, messages, documents, authority reports, or other available information.

Passi may facilitate communications, review evidence, suspend a booking or account, withhold certain payouts, or collaborate with insurers and third parties when reasonably necessary, but does not substitute authorities, insurers, doctors, captains, mechanics, or other professionals.

15. WEATHER, PORTS, MARINAS, AND OTHER OPERATIONAL RESTRICTIONS

Certain services depend on operational conditions beyond Passi's control.

Weather, swells, visibility, weather alerts, marina or port closures, airport restrictions, road closures, authority orders, strikes, natural disasters, or other conditions may prevent or modify provision.

In nautical services, the captain and competent authorities retain the authority to prioritize navigation safety and legality.

When a restriction materially affects a booking, rescheduling, cancellation, refund, or another solution may apply according to the Cancellation and Refund Policy and the circumstances of the case.

16. CANCELLATIONS, REFUNDS, AND DISPUTES

Cancellations and refunds are governed by the policy chosen by the Host and Passi's current rules.

Each Host selects, among the options enabled by Passi, the cancellation policy applicable to their listing. Passi does not choose the policy on behalf of the Host.

If the service is not delivered, there is a material discrepancy, a serious safety condition occurs, or another cause outlined in the Cancellation and Refund Policy arises, the Client may request a corresponding review.

Disputes related to payments, chargebacks, deposits, damages, or refunds are managed according to the Terms, the Cancellation and Refund Policy, and applicable payment provider rules.

17. THIRD PARTIES AND ADDITIONAL SERVICES

Some services may involve additional third parties chosen or contracted by the Host or Client.

Captains, crews, marinas, parking lots, delivery services, drivers, insurers, repair shops, food providers, or other third parties may participate in a booking.

When these third parties are independently contracted or managed by the Host, the Host is responsible for coordinating their participation and corresponding legal obligations.

When the Client directly contracts an additional service outside of Passi, Passi is not part of that transaction and does not control its provision.

Passi may provide information or integrations with third parties but does not guarantee external services it does not directly operate.

18. LIMITATIONS AND MANDATORY RIGHTS

Passi facilitates the marketplace but cannot guarantee that every booking will execute without incident.

Passi does not guarantee Client or Host conduct, the future condition of an asset, the absence of breakdowns, traffic, adverse weather, closures, delays, or third-party actions.

Publishing a listing, reviewing documentation, verifying an account, or Host availability on Passi should not be interpreted as a Passi inspection, certification, endorsement, or general guarantee regarding the asset, Host, or service, except for what Passi expressly declares having verified.

Passi's liability limitations will apply only to the extent permitted by law. Nothing in this Policy excludes consumer rights or liabilities that cannot be legally limited.

When an obligation directly corresponds to the independent Host or Provider, the Client retains any rights they may have against such Host or Provider according to the booking, the Terms, and applicable law.

19. CHANGES TO THIS POLICY

We may update this Policy to reflect legal, operational, or product changes.

The current version will be identified by the date of last update. Material changes may be communicated via the App, website, email, or other reasonable channel when applicable.

Unless the law requires otherwise, subsequent changes will not retroactively alter specific delivery or provision conditions that have already been confirmed for a booking.
